The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. Your submissions and contributions

Submissions: If you directly provide us with an idea, suggestion, recommendation, proposal, or other feedback concerning the development, improvement, modification, or operation of the Services (“Submissions”), you agree that we may use, reproduce, modify, adapt, publish, distribute, develop, commercialize, and otherwise exploit such Submissions for any lawful purpose without restriction, attribution, or compensation to you.

You are solely responsible for your Submissions and/or Contributions and expressly agree to reimburse us for any and all losses that we may suffer because of your breach of this section, any third party's intellectual property rights, or applicable law. Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider them harmful or in breach of these Legal Terms.

By using the Services, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete;
  2. You will maintain the accuracy of such information and promptly update such registration information as necessary;

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Products

All products are subject to availability. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

6. Purchases and Payment

We accept the following forms of payment:

  • PayPal
  • Discover
  • American Express
  • Mastercard
  • Visa
  • Affirm
  • Afterpay
  • Paylater
  • Klarna

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time.

You agree to pay all charges at the prices then in effect for your purchases and any applicable fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

7. Subscriptions & Installment Plans

Billing and Renewal

If you are subscribed to a membership product or service (which is different from an Installment Plan), your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order.

Cancellation

You can cancel your subscription at any time by contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at [email protected].

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

Installment Plans

We offer installment payment options as a courtesy to make our programs more accessible. By selecting an installment plan, the participant agrees to the following terms:

Payment Schedule: The first installment will be charged immediately upon enrollment. Each subsequent installment will be an equal amount and charged automatically on the same calendar day of each following month, for the duration of the selected installment plan.

Failed Payments and Grace Period: If an installment payment fails (due to insufficient funds, expired card, or any other reason), the participant will be notified via email and will have a fourteen (14) calendar day grace period to update their payment method and bring the account current.

Access Suspension and Account Closure: If the outstanding payment is not resolved within fourteen (14) days, access to the course, materials, and any related community or certification features will be suspended. If payment remains unresolved after thirty (30) days from the original due date, the participant's account will be permanently closed. In such cases: all progress will be forfeited and re-enrollment will be required at the current rate if the participant wishes to regain access. No refunds will be issued for payments already made, regardless of participation or course access status.

Refunds and Installment Plans: The Refund Policy outlined below also applies to participants on installment plans. Refund eligibility is based solely on the date of initial enrollment and the initial installment payment, not on the number of payments made.

Collections and Legal Enforcement: We reserve the right to pursue any unresolved and outstanding payments, including failed installment obligations, through third-party collections, legal action, or other lawful means. Additional fees, including administrative or collections costs, may apply and will be the responsibility of the participant.

8. Refunds Policy

Due to the immediate access provided to proprietary course materials upon enrollment, all purchases are considered final after seven (7) calendar days from the date of the initial transaction. Refund requests made within this seven-day window may be granted only if the participant has accessed less than ten percent (10%) of the total course content, as determined by the learning management system's activity records.

No refunds will be issued after this period, regardless of participation level, failure to complete coursework, or changes in personal circumstances.

By enrolling, participants acknowledge and agree to this policy and understand that the purchase represents a commitment to the program as described at the time of registration.

11. Contribution License

By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions.

We do not assert any ownership over your Contributions. If you decide to leave the Services and access Third-Party Websites or use Third-Party Content, you do so at your own risk, and these Legal Terms no longer govern. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases.

13. Intellectual Property and Permitted Use

All content in the products, services, courses, and programs, including but not limited to written materials, videos, graphics, assessments, frameworks, slide decks, downloads, and proprietary terminology, is the intellectual property of Neuronutrition, LLC. and is protected by applicable copyright, trademark, and trade secret laws. When you enroll in a course with us, you are granted a limited, non-exclusive, non-transferable license to access and use the materials for your own personal educational use only. You may not reproduce, distribute, modify, publish, transmit, sell, sublicense, or create derivative works from any part of the program content without our express written permission. Use of our content for teaching, commercial purposes, curriculum development, public presentation, or redistribution — whether free or paid — is strictly prohibited. Any unauthorized use constitutes a violation of these Terms and may result in legal action and immediate revocation of access without refund.

14. Confidential and Proprietary Information

In connection with the Services, you may receive or gain access to non-public, confidential, proprietary, or commercially sensitive information belonging to us or third parties (“Confidential Information”). Confidential Information includes, without limitation, non-public course and assessment materials; proprietary frameworks, methodologies, and materials under development; accreditation, credentialing, compliance, and quality assurance information; internal communications and documents; research and research materials; business, financial, strategic, technical, and operational information; and non-public information concerning participants, instructors, employees, contractors, advisors, or collaborators.

You may use Confidential Information only for the purpose for which it was provided. You may not, without our prior written authorization, copy, record, reproduce, publish, post, transmit, distribute, disclose, commercially exploit, or otherwise make Confidential Information available to any third party or the public. You may not use Confidential Information to develop, reproduce, support, or assist with any competing course, curriculum, assessment, educational resource, training program, commercial product, database, or other offering.

Communications and Correspondence

Communications with our employees, instructors, contractors, advisors, and representatives may contain Confidential Information, proprietary information, personal information, internal business information, or other protected material. You may not publish, distribute, reproduce, or publicly disseminate any such protected information contained in private correspondence, support communications, direct messages, emails, meetings, calls, or other communications except with our prior written authorization or as permitted by applicable law.

You may not materially alter, selectively edit, manipulate, fabricate, or present communications in a manner that falsely attributes a statement to us or our representatives or creates a materially false or misleading representation of the communication.

The confidentiality or proprietary status of information is not waived solely because it is communicated to you by one of our employees, instructors, contractors, advisors, or representatives.

These obligations survive completion, cancellation, revocation, removal, or withdrawal from any course or program, termination or expiration of access to the Services, issuance or expiration of any credential, and termination of these Legal Terms.

Any unauthorized use or disclosure of Confidential Information constitutes a material breach of these Legal Terms. To the fullest extent permitted by law, we reserve the right to suspend or terminate access and to pursue any available legal or equitable remedies.

15. Recording, Extraction, and Artificial Intelligence

Except where expressly authorized by us, you may not record, photograph, screen capture, screen record, download, scrape, extract, archive, reproduce, or systematically collect any portion of the Services or Content, including courses, lessons, videos, presentations, live sessions, assessments, transcripts, discussions, downloads, or other materials.

You may not use automated systems, bots, crawlers, scraping tools, data-mining tools, artificial intelligence systems, machine learning systems, or similar technologies to access, collect, extract, reproduce, analyze, or create datasets from the Services or Content.

You may not upload, submit, disclose, or otherwise provide our Content or Confidential Information to any third-party artificial intelligence or machine learning system except with our prior written authorization. You may not use our Content or Confidential Information to train, fine-tune, develop, evaluate, benchmark, or improve any artificial intelligence, machine learning, language model, algorithm, dataset, or similar technology.

Any permission we provide to download, print, record, or otherwise retain particular materials is limited to the specific materials and purposes authorized and does not waive any intellectual property, confidentiality, or other rights.

The absence of technological restrictions or the technical ability to access, copy, download, record, screen capture, extract, reproduce, or otherwise use any Content does not constitute permission or authorization to do so and does not waive or limit any restriction contained in these Legal Terms.

Violation of this section constitutes a material breach of these Legal Terms and may result in immediate suspension or termination of access without refund and any other remedies available to us under applicable law.

16. Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

17. Credential Issuance, Status, Use, Suspension, and Revocation

Enrollment in or payment for a course or program does not guarantee completion, certification, or issuance of any credential. Credentials are issued only upon satisfactory completion of all requirements established by us for the applicable program, which may include coursework, assessments, assignments, participation requirements, attestations, payment obligations, and compliance with these Legal Terms and applicable program policies.

We retain sole authority to determine whether credential requirements have been satisfied and to issue, verify, classify, maintain, suspend, expire, reinstate, or revoke credentials issued by us, subject to applicable law and our then-current credentialing policies.

You may represent yourself as holding a credential issued by us only while you have legitimately earned and, where applicable, currently maintain that credential. You may not:

  • claim or imply that you hold a credential you have not earned;
  • misrepresent the status, scope, meaning, validity, or expiration of a credential;
  • alter, reproduce, falsify, transfer, sell, or permit another person to use your certificate, digital badge, credential identifier, or other credential record;
  • represent an expired, suspended, or revoked credential as current or active;
  • use a credential, certificate, badge, designation, mark, or Academy affiliation in a false, misleading, deceptive, or unauthorized manner; or
  • use a credential to imply licensure, authorization, scope of practice, endorsement, qualification, or professional authority that the credential does not confer.

We may withhold, suspend, or revoke a credential where we reasonably determine that the credential was obtained or maintained through fraud, falsification, academic misconduct, material misrepresentation, unauthorized assistance, falsified continuing education or renewal documentation, or other material violation of applicable credentialing requirements.

We may also suspend or revoke a credential for material misuse of the credential or associated designation, badge, certificate, or marks; material violation of these Legal Terms directly related to the integrity or use of the credential; or failure to satisfy applicable maintenance or renewal requirements.

Suspension or revocation of a credential may include removal from our credential directory, invalidation of associated digital credentials or verification records, and termination of authorization to represent the credential as active.

Our credentials do not independently grant professional licensure, expand a participant's lawful scope of practice, or authorize activities otherwise restricted by law or professional regulation.

18. Maintenance of Certification (MOC)

The National Academy of Neuronutrition Certified Practitioner (NANCP) credential is valid for four (4) years from the date of completion, as indicated on your certificate and digital credential. To maintain active certification status beyond that period, you must complete the MOC process prior to your renewal date. MOC requires documentation of at least forty (40) continuing education (CE) units relevant to the field of neuronutrition. One CE unit is equivalent to one hour of eligible learning.

CE units may be earned through a range of experiential learning activities, including but not limited to:

  • Reading peer-reviewed research papers
  • Attending live or recorded webinars, trainings, or conferences
  • Completing courses or certification programs on topics such as neuronutrition, nutrition science, neuroscience, psychology, neurobiology, and related fields

To renew your certification, you must:

  • Submit an affidavit attesting to the completion of 40 CE units within the previous four years
  • Provide a log of the CE activity, provider, and date completed
  • Pay a renewal fee of $295 (USD) through our designated online portal

We reserve the right to request supporting documentation for any CE activities submitted, including proof of attendance, completion, or engagement. We may audit CE submissions at our discretion. Failure to provide adequate verification upon request may result in suspension or revocation of your certification.

Failure to complete the MOC process by your renewal deadline will result in the expiration of your credential and removal from the active NANCP directory. Reinstatement will require re-enrollment in the program and completion at the current tuition rate.

29. Code of Conduct and Right to Revoke Access

We are committed to maintaining a learning environment that is respectful, inclusive, and aligned with the values of professionalism and integrity. By enrolling in any of our programs, you agree to engage with all instructors, staff, fellow participants, and community spaces in a manner that is constructive, non-disruptive, and free from harassment, discrimination, or abusive behavior.

We reserve the right to suspend or permanently revoke access to our courses, platforms, community forums, or certifications, without refund, if you engage in conduct that we determine, at our sole discretion, to be:

  • Disrespectful, hostile, or harmful to others
  • Misrepresentative of your identity or qualifications
  • In violation of our intellectual property rights or usage guidelines
  • Fraudulent, unethical, or in bad faith

We may also revoke access if we discover that you shared your login, distributed course materials without permission, or otherwise violated the terms of enrollment. Maintaining access to our programs and certifications requires ongoing adherence to these standards.

30. Course Materials and Access Period

When you purchase one of our courses or programs, you are granted access to the course materials for a defined period, as specified at the time of purchase. Unless otherwise stated in writing, standard course access is granted for sixteen (16) months from the date of enrollment. After this period, access will automatically expire, and continued use of the course platform or content will require re-enrollment at the current rate. Extensions are not guaranteed and may be subject to approval and additional fees, if available.

It is your responsibility to complete all coursework and requirements within the designated access window. We are not responsible for any loss of access or certification eligibility due to failure to complete the program within this time frame.

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

32. Right to Modify Courses, Programs, and Content

The content of our courses and programs are designed to evolve over time. We reserve the right to update, revise, reorganize, replace, supplement, or remove course content, curriculum structure, lessons, assessments, readings, videos, instructional materials, instructors, delivery methods, technology platforms, community features, policies, and other program components at any time.

Changes may be made to reflect developments in research or professional practice; improve accuracy, quality, accessibility, or educational effectiveness; correct errors or outdated information; satisfy accreditation, continuing education, legal, regulatory, technological, or operational requirements; or otherwise maintain or improve the program.

Accordingly, the content or structure available to you during your enrollment may differ from the content or structure that existed when you enrolled or that is available to participants who enroll at another time. Enrollment does not entitle you to continued access to a particular version of a lesson, curriculum, instructor, platform feature, assessment, or educational resource.

We may also revise completion, assessment, certification, or credentialing requirements when reasonably necessary to maintain academic integrity, educational standards, accreditation or continuing education requirements, or the validity of a credential.

We are not required to preserve, maintain, or continue offering outdated, superseded, inaccurate, or discontinued course content or program features.

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

38. Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration may be conducted in person, through the submission of documents, by phone, or online. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Pinellas County, Florida, United States.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
